Vice President–Administration and CFO

Department: Administration
Reports To: President/Chief Executive Officer and Board of Directors
Summary: Vice President of Administration: Plans, organizes, directs and controls the financial activities of the Company; oversees the financial activities of all companies related to the Company; coordinates resource planning among the companies; ensures efficient use of financial resources; oversees that policies and actions taken by the Company are not in conflict with board guidelines; and recommends policies and actions to be considered by key managers and
CFO: Directs the organization's financial planning practices as well as its relationship with lending institutions, shareholders, and the financial community by performing the following duties personally or through subordinate managers.

ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned.

Vice President of Administration
·Performs the duties of Corporate Secretary for the Company.
·Performs the duties of Legal Compliance Officer for the Company. Ensures compliance with legal requirements of the Company. Acts as liaison with legal advisers, as needed.
·Regularly analyzes and appraises the effectiveness of each activity in the financial control divisions of all companies and takes corrective action when necessary.
·Formulates the financial policies of the company together with the President/CEO, the Vice President/COO and the Executive Team. Ensures that those policies are carried out effectively. Makes provision for rendering assistance and guidance when needed.
·Maintains sound relationships with banks and other sources of borrowing. Represents all companies in their day-to-day activities in the financial community.
·Assesses borrowing needs. Ensures that acceptable business plans to support the need for funds have been developed.
·Oversees the use of funds for capital expenditures. Reviews all proposals for significant new expenditures, analyzes the justification for the expenditure, and is an essential member of the team that approves or denies the request.
·Provides an adequate program of insurance. Administers insurance programs for all of the companies. Advises management of each company about insurance coverage for protection against property losses and potential liabilities.
·Provides internal auditing of all financial activities.
·Keeps the President and the Executive Team currently informed of the affairs of the administrative division.
·Reports to the President, the Executive Team, and the Board of Directors any condition that may hamper or improve the performance of the company.
·Serves as a member of the Company's Executive Team. At the direction of the Board of Directors, serves on the board.
·Plans and manages the Company's tax liabilities. Evaluates tax liability impact on contemplated courses of action and reports those results to the Executive Team in order to minimize the costs of taxes.
·Maintains positive relationships with outside auditors and ensures that all internal documents are placed at the disposal of auditors in a timely manner.
·Deals with taxing bodies, including submission of tax reports.
·Establishes or recommends to management, major corporate economic strategies, objectives, and policies for all of the companies.
·Recommends modifications to existing corporate programs
·Advises management on desirable operational adjustments due to tax code revisions
·Oversees the proper negotiation of purchasing contracts
·Oversees information systems, financial reporting, employee benefits and insurance matters
·Integrates information systems in order to report to the President/CEO and Vice President/COO
·Advises the President/CEO and Vice President/COO of capital, cash, and borrowing needs.
·Oversees the preparation of financial statements, ensures that they are prepared according to generally accepted accounting principles, and confirms the accuracy of those statements.
·Assists with the interpretation of financial statements.
·Ensures that adequate internal financial controls are in place in order to safeguard the assets of company.
·Establishes sound accounting policies and procedures to ensure uniform reporting and compliance with government regulations.
·Assists with the development of budgets and special studies.
·With the concurrence of the Vice President/COO, trains, retrains, and assists with the procurement of key members of the financial staff. Also recommends salaries/incentives and job descriptions for these members.
·Supports the overall Company goal of continuous improvement. In his/her analysis of financial activity, actively seeks areas in which improvement is needed.

Chief Financial Officer:
·Oversees and directs treasury, audit, tax, purchasing, real estate, long range forecasting, and insurance activities for the organization.
·Performs the function of treasurer in activities such as custodian of funds, securities, and assets of the organization.
·Coordinates tax reporting programs and investor relations activities.
·Oversees and directs the preparation and issuance of the corporation's annual report.
·Directs and analyzes studies of general economic, business, and financial conditions and their impact on the organization's policies and operations.
·Analyzes operational issues impacting functional groups and the whole institution, and determines their financial impact.
·Evaluates and recommends business partnering opportunities.
·Establishes and maintains contacts with stockholders, financial institutions, and the investment community.
·Performs other duties as assigned.

SUPERVISORY RESPONSIBILITIES Either performs or oversees the functions of Corporate Secretary, Legal Compliance Officer, and Chief Financial Officer. Oversees the activity of outside professionals, e.g. attorneys, to ensure that Company objectives are met. Note: a 'dotted line' supervisory accountability exists between this position and the Controller.

·He/she must have an excellent understanding of the legal and financial requirements of a corporate business entity.
·He/she must be a Certified Public Accountant (CPA)
·He/she must be able to work at the highest level of confidentiality.
·He/she must have direct experience developing, maintaining, and analyzing financial records in an industrial accounting environment.
·He/she must work with the highest degree of accuracy.
·He/she must be a team player, able to work successfully with interdependent teams.
·He/she must be self-motivated, a 'self starter'
·He/she must be able to work with computers


EDUCATION and/or EXPERIENCE A bachelor's degree in accounting or finance is required. At least five years of experience as a controller in a manufacturing company is required.

LANGUAGE SKILLS Excellent communication skills, both verbally and in writing, are required. The ability to develop and deliver a strong presentation is also necessary. The ability to interpret complex communication, both verbally and in writing, is also essential.

MATHEMATICAL SKILLS Strong mathematical skills are essential. The Vice President of Administration/CFO must be able to work with the highest degree of accuracy as well as at a conceptual level.

REASONING ABILITY The Vice President of Administration/CFO must possess excellent reasoning ability and analytical skills. He/she must be able to analyze problems, identify alternative solutions, select and implement the best alternative, and communicate the logic behind the decision to others.
